4. User Accounts

Certain features of the Services require you to create or use an account. You may register using an email address and password, a supported third-party authentication provider (such as Google), or any other authentication methods that Hulela Technologies may make available in the future.

Each account is intended for use by a single individual unless explicitly authorized otherwise by Hulela Technologies. Sharing accounts, impersonating another person, creating fraudulent accounts, or providing false identity information is prohibited.

You retain ownership of your account and any content that you submit through the Services, subject to the licences and permissions described elsewhere in these Terms. Creating an account does not transfer ownership of any Hulela Technologies intellectual property to you.

Hulela Technologies reserves the right to suspend, restrict, verify, or terminate accounts where we reasonably believe that an account:

• Has been created through fraudulent or unauthorized means.
• Is being used in violation of these Terms.
• Poses a security risk to the Services or other users.

5. Acceptable Use

• Impersonate another individual, organization, or Hulela Technologies representative.
• Misrepresent your identity or affiliation with any person or organization.
• Attempt to interfere with the experience of other users, including through spam, phishing, denial-of-service attacks, or abusive behaviour.
• Use the Services to distribute unsolicited commercial communications or advertisements without authorization.
• Exploit bugs, vulnerabilities, or unintended platform behaviour for personal gain or to harm others.
• Use the Services in a way that places an unreasonable burden on our infrastructure or negatively affects the availability of the Services.

Enforcement

Hulela Technologies reserves the right to investigate suspected violations of these Terms and to take any action we reasonably consider appropriate, including removing content, restricting functionality, suspending accounts, terminating access, reporting unlawful conduct to relevant authorities, or pursuing any other remedies available under applicable law.

Our decision to take enforcement action will depend on the nature and severity of the conduct, its impact on the Services, other users, and our legal obligations. We are not obligated to monitor all activity on the Services but may do so where reasonably necessary to maintain the security, integrity, and reliability of the platform.

If you discover a security vulnerability or believe you have identified unintended behaviour within the Services, we encourage you to report it responsibly through our official Contact page rather than publicly disclosing or exploiting the issue.

6. Paid Services and Billing

Hulela Technologies may offer both free and paid Services. Certain features, products, subscriptions, or functionality may only be available upon payment of applicable fees. Pricing, billing models, and available plans may change over time as our Services evolve.

Before purchasing any Paid Service, you will be presented with the applicable pricing, billing frequency, and any additional terms specific to that purchase. By completing a purchase, you agree to pay all applicable fees and taxes associated with the selected Service.

Billing

Paid Services may be offered through one-time purchases, recurring subscriptions, usage-based billing, prepaid balances, or other billing models introduced by Hulela Technologies from time to time.

If you subscribe to a recurring plan, you authorize the applicable payment provider to automatically charge your selected payment method on each renewal date until you cancel your subscription or it is otherwise terminated.

Pricing Changes

We reserve the right to modify pricing, subscription plans, usage limits, included features, promotional offers, and billing structures at any time. Where required by applicable law, we will provide reasonable notice before pricing changes take effect for existing subscribers.

Payments

Payments are processed through trusted third-party payment providers. Hulela Technologies does not store your complete payment card information unless explicitly stated. Your use of any payment service may also be subject to that provider's own terms and privacy policies.

You are responsible for ensuring that your payment information remains current and that your chosen payment method is valid for the duration of any subscription or purchase.

Refunds

Refund eligibility, cancellation rights, and billing adjustments will be determined in accordance with our Refund and Cancellation Policy, applicable law, and any service-specific terms presented at the time of purchase. Unless otherwise required by law or expressly stated, payments made for Paid Services are non-refundable.

Suspension for Non-Payment

If payment cannot be successfully processed or remains outstanding, we may suspend or restrict access to Paid Services until payment has been received. Continued non-payment may result in cancellation of subscriptions or termination of access to certain features.

Nothing in this section limits any consumer rights that you may have under applicable law, including the laws of the Republic of South Africa or your country of residence where those laws apply.

We do not warrant or guarantee that any Third-Party Service will remain available, compatible, uninterrupted, or free from errors. Third-Party Services may change, suspend, or discontinue their offerings without notice, which may affect certain features of our Services.

Where our Services provide links to external websites or resources, those links are provided solely for convenience. The inclusion of a link does not constitute an endorsement, sponsorship, or recommendation by Hulela Technologies unless explicitly stated.

Hulela Technologies is not responsible for any loss, damage, or liability arising from your use of Third-Party Services, including transactions, communications, or interactions between you and those providers.

We reserve the right to add, replace, modify, or discontinue integrations with Third-Party Services at any time where reasonably necessary to improve the Services, enhance security, comply with legal obligations, or support new functionality.

By using features that rely on Third-Party Services, you acknowledge that certain information may be shared with those providers as necessary to deliver the requested functionality, in accordance with our Privacy Policy and the applicable third party's privacy practices.

10. Service Availability

Hulela Technologies continually develops, maintains, and improves its Services. While we aim to provide a reliable and secure platform, we do not guarantee that the Services will be available at all times or operate without interruption, delays, or errors.

The availability and performance of the Services may be affected by scheduled maintenance, software updates, infrastructure changes, security measures, third-party services, internet connectivity, force majeure events, or circumstances beyond our reasonable control.

Updates and Improvements

We may modify, enhance, replace, suspend, or discontinue any feature, functionality, product, or part of the Services at any time where reasonably necessary to improve performance, security, compliance, reliability, or the overall user experience.

We may also release new features, experimental functionality, previews, or beta services. Such features may be incomplete, contain defects, or change substantially before general availability.

Maintenance

Data Availability

Although we implement reasonable measures to protect user data, you are responsible for maintaining your own copies of important information where appropriate. Hulela Technologies is not responsible for any loss of data resulting from system failures, user actions, third-party services, or events beyond our reasonable control, except where required by applicable law.

We reserve the right to suspend access to the Services, whether in whole or in part, where reasonably necessary to protect the security, integrity, stability, or lawful operation of the platform.

8. Intellectual Property

The Services, including all software, source code, algorithms, user interfaces, designs, graphics, logos, trademarks, service marks, text, documentation, databases, audiovisual content, and other materials made available through the Services (collectively, the "Platform Content"), are owned by or licensed to Hulela Technologies and are protected by applicable intellectual property and other laws.

Subject to your compliance with these Terms, Hulela Technologies grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Services solely for their intended purpose. This licence does not transfer ownership of any intellectual property rights to you.

Ownership

All rights, title, and interest in and to the Services, including any improvements, modifications, updates, new features, and derivative works developed by Hulela Technologies, remain the exclusive property of Hulela Technologies or its licensors.

Nothing in these Terms grants you any ownership interest in any trademarks, logos, branding, domain names, trade names, patents, copyrights, trade secrets, or other intellectual property belonging to Hulela Technologies.

Restrictions

Unless expressly permitted by applicable law or with our prior written consent, you may not:

• Copy, reproduce, or redistribute any Platform Content.
• Modify, adapt, translate, or create derivative works of the Services.
• Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying technology.
• Remove, obscure, or alter copyright notices, trademarks, or other proprietary notices.
• Sell, lease, sublicense, or commercially exploit any part of the Services except where expressly authorised.

Feedback

By submitting feedback, you grant Hulela Technologies a perpetual, worldwide, irrevocable, royalty-free, transferable licence to use, modify, reproduce, distribute, and incorporate that feedback into our products and Services without compensation or acknowledgement, unless otherwise agreed in writing.

Copyright Infringement

Hulela Technologies respects the intellectual property rights of others. If you believe that material available through the Services infringes your intellectual property rights, please notify us through our Contact page with sufficient information to allow us to investigate the claim and take appropriate action where necessary.

9. User Content

The Services may allow you to upload, submit, create, generate, store, transmit, or otherwise make available information, files, documents, text, images, code, media, prompts, data, or other materials ("User Content").

You retain ownership of the intellectual property rights in your User Content. Nothing in these Terms transfers ownership of your User Content to Hulela Technologies except for the limited rights necessary for us to provide and improve the Services.

Licence to Hulela Technologies

By submitting or storing User Content through the Services, you grant Hulela Technologies a non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, modify (where technically necessary), transmit, display, and otherwise use your User Content solely for the purposes of:

• Providing the Services you request.
• Maintaining and securing the platform.
• Backing up and recovering data.
• Improving platform performance and reliability.
• Complying with applicable legal obligations.

This licence ends when your User Content is permanently removed from our systems, except where retention is required by law, necessary for security, dispute resolution, fraud prevention, or otherwise permitted under our Privacy Policy.

Your Responsibilities

You are solely responsible for the User Content that you submit through the Services. You represent and warrant that:

• You own or have the necessary rights to submit the User Content.

AI-Generated Content

Certain Services may allow you to generate content using artificial intelligence or other automated technologies. Unless otherwise stated, AI-generated outputs are provided "as is" and may contain inaccuracies, omissions, or unintended results. You are responsible for reviewing and verifying any generated content before relying upon or distributing it.

Removal of Content

We reserve the right to remove or restrict access to User Content where reasonably necessary to protect the Services, comply with legal obligations, respond to valid complaints, investigate suspected misuse, or enforce these Terms.

Your privacy is important to Hulela Technologies. We are committed to handling your personal information responsibly, securely, and in accordance with applicable data protection laws.

Termination by You

Closing your account does not automatically remove information that we are required or permitted to retain under applicable law, our Privacy Policy, or for legitimate business purposes such as security, fraud prevention, dispute resolution, or record keeping.

Suspension or Termination by Hulela Technologies

We may suspend, restrict, or terminate your access to all or part of the Services, with or without prior notice where reasonably appropriate, if we believe that:

To the fullest extent permitted by law, Hulela Technologies disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, satisfactory quality, and any warranties arising from a course of dealing, usage, or trade practice.

No Guarantee of Results

We do not guarantee that your use of the Services will achieve any particular outcome, business objective, financial result, educational achievement, productivity improvement, or other desired result. Any examples, demonstrations, projections, recommendations, or informational content provided through the Services are for general informational purposes only and should not be interpreted as guarantees.

Availability

We do not warrant that the Services will always be available, uninterrupted, secure, free from delays, free from harmful components, or entirely error-free. User Responsibility

This limitation applies regardless of the legal theory upon which the claim is based, including contract, delict (tort), negligence, strict liability, statute, or otherwise, even if Hulela Technologies has been advised of the possibility of such damages.

Types of Loss

Without limiting the generality of the foregoing, Hulela Technologies shall not be liable for any loss of:

• Business opportunities or commercial goodwill.
• Business interruption or operational downtime.
• Data, information, or digital content.
• Productivity or expected outcomes.

Maximum Liability

To the fullest extent permitted by law, the aggregate liability of Hulela Technologies arising out of or relating to the Services shall not exceed the greater of:

• The total amount paid by you to Hulela Technologies for the relevant Service during the twelve (12) months immediately preceding the event giving rise to the claim; or
• One hundred South African Rand (ZAR 100), if no payment has been made.

Exceptions

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law. In particular, nothing in these Terms limits liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where prohibited by law, or any liability that cannot lawfully be excluded or limited.

Consumer Rights

If you are a consumer, you may have rights under applicable consumer protection legislation that cannot be excluded or limited by contract. These Terms are intended to operate only to the extent permitted by applicable law.

15. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Hulela Technologies, its directors, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, actions, proceedings, liabilities, damages, losses, costs, expenses, and reasonable legal fees arising out of or related to:

• Your breach of these Terms.
• Your violation of any applicable law or regulation.
• Your infringement of the intellectual property, privacy, contractual, or other legal rights of any third party.

Hulela Technologies reserves the right, at its own expense, to assume the exclusive defence and control of any matter that would otherwise be subject to indemnification by you. In such circumstances, you agree to cooperate fully with us in the defence or settlement of the matter.

You may not settle any claim that affects Hulela Technologies without our prior written consent if the settlement imposes any obligation, admission of liability, or restriction on Hulela Technologies.

The obligations contained in this section survive the suspension or termination of your account and your use of the Services.

16. Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to the Services or these Terms shall be governed by and interpreted in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.

Subject to any mandatory rights provided under applicable law, you agree that the courts of the Republic of South Africa shall have exclusive jurisdiction to resolve any dispute, claim, or legal proceeding arising from or relating to these Terms or your use of the Services.

Nothing in these Terms limits or excludes any rights that you may have under mandatory consumer protection or data protection laws that apply in your country of residence where such rights cannot lawfully be excluded or limited.
